Bricks and Pixels

Terms of sale

Bricks and Pixels Ltd

Version 2.2 | 14 October 2026

1. About us

Bricks and Pixels Ltd is registered in England and Wales under company number 17499294.

Registered office: 71-75 Shelton Street, London WC2H 9JQ
Trading address: 90 Front Street, Slip End, Luton LU1 4BS
Email: [email protected]
Website: https://bricksandpixels.co.uk
ICO registration number: ZC266933

We are not currently registered for VAT and do not charge VAT.

In these terms, "we", "us" and "our" mean Bricks and Pixels Ltd. "You" and "your" mean the business buying the website or services.

2. Who these terms apply to

These terms are intended for business customers purchasing for business purposes.

Our standard online checkout is for verified UK limited companies and limited liability partnerships. The person completing a purchase must have authority to enter into the agreement on behalf of that business.

We do not offer consumer purchases through this checkout.

If a proposed customer is an individual acting wholly or mainly outside their trade, business, craft or profession, they must not use this B2B purchase route. Any consumer sale would require separate terms and pre-contract information.

3. How the contract is formed

The contract consists of:

  1. The package and price details presented at checkout or in our written quotation.
  2. Any expressly agreed project specification or statement of work.
  3. These Terms of Sale.
  4. The applicable data processing agreement where we process personal data on your behalf.
  5. Any separately agreed third-party service or licence terms that are clearly identified before purchase.

For an online purchase, you make an offer to buy when you complete the checkout and authorise payment.

The contract is formed when we send our order acceptance confirming the package, price and customer business. An automated payment receipt alone is not necessarily our acceptance of an order.

We may reject an order where the purchaser is not authorised, the customer is not eligible, the package cannot lawfully be supplied or a material error affects the order. Where an order is rejected after payment, we will refund the payment.

For purchases agreed directly, the contract is formed when we confirm acceptance of your written agreement to our quotation.

Any separately agreed change to these terms must be recorded in writing by authorised representatives of both parties.

Where documents conflict, a specifically agreed written project variation takes priority, followed by the approved project specification, package details and these terms. A variation does not override a legal requirement.

We provide these terms electronically in a form that can be saved and reproduced.

4. About speculative website previews

We may create a website concept for your business before you have asked us to do so.

The concept is made at our own cost. You do not owe us anything merely because we have built or shown it to you.

A speculative preview:

You may share access internally with people authorised to consider the proposal, provided the demonstration remains restricted and is not presented to the public as your live website.

If you do not wish the preview to remain available, email [email protected]. We will suspend access promptly and arrange its removal.

A preview may contain information about your business obtained from public sources. We do not guarantee that this information is complete or current.

Any final site content, branding, photographs and other materials must be checked and approved before publication.

We do not acquire rights over your existing branding, photographs or business content by creating a speculative preview.

If a preview is not purchased, we may retain our own general code, methods and reusable design components. We will not publish the prospect-branded preview as a portfolio item without appropriate permission.

Nothing in these terms gives us permission to infringe copyright, trade mark rights or other third-party rights.

5. The website packages

All prices are in pounds sterling.

5.1 Freehold

£795 one-off

You receive the agreed website files and brand pack.

You are responsible for arranging installation, hosting, configuration and ongoing management, either yourself or through a provider you choose.

Installation by Bricks and Pixels is not included.

The agreed transferable rights in the project-specific website material pass to you in accordance with section 10 once the purchase payment has been received and the signed assignment has taken effect.

Changes requested after handover are charged at £75 an hour unless separately quoted.

5.2 Fitted

£995 one-off

You receive everything included in Freehold, and we install the agreed website into the accounts designated and controlled by your business.

This may involve your domain registrar, DNS configuration and hosting account.

The £200 difference between Freehold and Fitted is the installation service.

You are responsible for having suitable accounts, access and permissions available for the installation.

We will not require you to send account passwords through ordinary email. Access must be provided through an agreed secure method.

Ongoing maintenance by Bricks and Pixels is not included unless purchased separately. Hosting-only (section 6.1) is not available for Fitted websites.

The agreed project-specific rights transfer in accordance with section 10 after payment and completion of the relevant assignment.

Changes requested after handover are charged at £75 an hour unless separately quoted.

5.3 Managed website

£495 setup, followed by a monthly management plan

Managed is an alternative way to purchase the same underlying website.

The lower setup charge is offered because you are also entering into a 12-month management commitment.

The setup payment is for the finished website. The monthly fees are for ongoing services, not instalments towards ownership.

The agreed website files and brand pack become yours when the £495 setup payment has been received and the relevant signed assignment takes effect.

You keep the rights assigned to you even if the management service later ends.

You must choose one of the following plans.

Managed Lite: £49 a month

Includes:

Content changes and additional work are charged at £75 an hour unless separately quoted.

Initial 12-month cost: £1,083, comprising £495 setup and twelve monthly payments of £49.

Managed: £119 a month

Includes everything in Managed Lite, plus up to 90 minutes of our website management or change work per calendar month of service.

We may use that allowance for useful work on your website even if you have not submitted a specific change request.

Examples include checking content, updating project photographs, making agreed minor text changes and carrying out small improvements within the existing design.

The allowance is a maximum of 90 minutes and is not a guarantee that exactly 90 minutes of work will be necessary every month.

Unused time does not carry forward.

Additional agreed work beyond the allowance is charged at £50 an hour.

New pages, substantial redesigns and complex new functions are outside the allowance and require a separate quotation.

Initial 12-month cost: £1,923, comprising £495 setup and twelve monthly payments of £119.

5.4 Minimum term

Managed Lite and Managed each have an initial minimum term of twelve months.

After that period, the plan continues month to month until ended on at least 30 days' written notice.

The monthly plan does not include domain registration, business email or separately priced extras unless expressly stated in the accepted order.

6. Hosting and other optional services

6.1 Hosting-only for websites we built

£29 a month

Available only for websites built by Bricks and Pixels: for Managed Lite and Managed customers who move to hosting-only after their first 12 months, and for Freehold customers who want Bricks and Pixels to host their purchased website. It is not available for Fitted websites, which are installed into accounts your business controls, or for websites we did not build.

This includes:

It does not include proactive uptime monitoring, routine content changes, priority support or ongoing website management.

Changes are charged at £75 an hour.

The service continues monthly and can be ended with 30 days' written notice.

This service does not qualify a customer for the £495 Managed setup price.

6.2 AI chat assistant

£195 setup, then £29 a month

Where purchased, the assistant is designed to answer questions using approved information supplied for the customer's business and to provide an agreed route for contacting the business.

It is a separate service, not included in Managed Lite or Managed.

The assistant must not be relied upon for regulated professional advice, emergency assistance or any purpose outside the agreed specification.

Usage limits, supported content sources, response behaviour, data handling and any additional usage charges must be stated in the accepted chat assistant order before activation. No unlimited usage commitment is implied.

How we process your visitors' conversations is set out in section 20.1, AI chat assistant: data processing.

The service has no fixed minimum term and continues monthly, subject to 30 days' written notice.

6.3 Domains

Where purchased from us, our annual charges are:

Registration and renewal depend on the relevant registrar and registry rules, availability and continued eligibility.

The domain should be registered in the customer's name or otherwise held under arrangements that clearly protect the customer's rights to it.

6.4 Business email

Our annual mailbox charges are:

Email migration, recovery of old messages and complex existing mail-system changes are not included unless separately agreed.

6.5 Other work

Logo refreshes, additional pages, photography, new imagery, email migration and other extras are quoted separately.

We do not promise search rankings, leads, sales or other commercial performance outcomes.

We do not include ecommerce, custom booking systems or complex software integrations in the standard brochure website packages.

7. Payment and invoicing

All prices are in pounds sterling.

We are not currently VAT registered, so no VAT is charged.

If our VAT registration status changes, we will inform customers before charging VAT where legally required. A VAT change will not be used to conceal an additional discretionary price increase.

7.1 Payment before handover

For Freehold and Fitted, full payment is due before files are released or installation begins.

For Managed, the £495 setup fee and first monthly plan payment are due before onboarding and publication.

The remaining monthly plan payments are due in accordance with the agreed billing schedule.

Domains, email services and separately quoted extras must be paid for before the relevant registration, renewal or work begins unless we have specifically agreed otherwise.

7.2 Payment method

Payments may be processed by Stripe or another payment provider identified at checkout.

Where recurring payments are authorised, the payment method may be charged on each agreed renewal date.

We will provide an invoice or payment record identifying the charges.

7.3 Late payments

If we expressly agree invoice credit terms, the invoice will state the payment deadline. Unless a different period is agreed in writing, the credit period is 14 calendar days from the invoice date.

Where applicable, we reserve the right to statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

We will not impose a duplicate contractual late fee for the same loss without a proper legal basis.

An unsuccessful card charge does not itself transfer ownership of unpaid deliverables or discharge the underlying payment obligation.

8. What we need from you

You must provide the information, access, decisions and approvals reasonably necessary to complete and publish the agreed website.

This may include:

We will explain what we require and why.

If required information is outstanding for 14 calendar days after a clear request, we may pause the affected work and notify you.

If it remains outstanding for 60 calendar days, we may place the project into a suspended state after giving written notice and an opportunity to provide the missing information.

Suspension does not automatically terminate your ownership of material already assigned to you.

Any restart charge must be reasonable, based on additional work genuinely necessary, and agreed before that work begins.

We will not charge twice for work already paid for.

9. Your content and responsibility for approval

You are responsible for checking that the factual claims you approve for your live website are accurate.

This includes:

We remain responsible for carrying out our own services with reasonable care and skill and for not knowingly publishing unlawful or misleading material.

We may refuse to publish content that we reasonably believe is unlawful, infringing, misleading or materially unsafe.

A content approval does not excuse us from our own contractual duties.

10. Ownership, assignment and licences

10.1 Project-specific material

Once the relevant purchase or setup payment has been received, we will assign to you the copyright and other transferable intellectual-property rights that Bricks and Pixels Ltd owns in the final project-specific website material identified in the delivery record.

This includes, where originally created for your project and owned by us:

An effective copyright assignment will be recorded in a written instrument signed on behalf of Bricks and Pixels Ltd.

We will provide or make available a copy of that signed assignment and a description of the deliverables it covers.

We cannot transfer rights we do not own.

10.2 Materials we retain

We retain ownership of our pre-existing and reusable materials, including:

We grant you a perpetual, worldwide, non-exclusive, royalty-free licence to use, run, host, maintain, modify and have a third party maintain those retained materials as incorporated into your purchased website.

This licence permits you to move the website to another suitable hosting provider and continue operating it after ending any service agreement with us.

It does not grant an independent right to extract our reusable components or animation engine and sell them as a standalone product, template library or competing development tool.

This licence survives termination of the service agreement.

10.3 Third-party materials

Fonts, stock imagery, libraries, icons, hosted services and other third-party materials remain subject to their own legal rights and applicable licences.

Where third-party material is included, we will identify relevant material licences and any limitations affecting your use or transfer of the website.

We will not knowingly promise ownership of material that can only be licensed.

If an item cannot lawfully be transferred or used under your intended hosting arrangements, we will identify the restriction and propose a suitable replacement or authorised licence before handover.

10.4 AI-assisted material

Some website material may be developed with assistance from AI tools.

We assign rights in such material only to the extent those rights are owned by us and legally transferable.

We do not promise that generic design ideas, styles, techniques or autonomously generated material necessarily attract exclusive copyright protection.

We will not knowingly present third-party protected material as our own original work.

10.5 Your pre-existing material

You retain your existing rights in your business name, branding, logos, photographs, text and other material supplied for the project.

You grant us a non-exclusive licence to use material you have expressly approved for the purpose of designing, completing, testing and publishing your website and performing the services you purchase.

This licence continues only as necessary for those services, lawful retained records and any rights or licences that must survive for the website to operate.

We do not acquire ownership of your existing branding or photographs.

10.6 Footer credit

Unless you request otherwise, the final website will carry a small footer credit reading:

"Website built by Bricks and Pixels"

The credit may include our mark and a link to bricksandpixels.co.uk.

You may ask us to remove the credit at any time. We will not charge for removing it from a website we are then managing.

Where you manage the files yourself, you may remove the credit without our permission.

10.7 Portfolio use

We may ask for permission to display the finished website and refer to your business as a customer in our portfolio.

We will not treat purchase of the website alone as consent to use your name, logo or project images in unrelated advertising.

Portfolio use requiring your permission will be agreed separately.

11. Your material, warranties and third-party claims

You confirm that you have the rights, permissions or other legal authority required for material you supply or expressly approve for publication on your live website.

Where material was included in the speculative preview before purchase, this confirmation applies to its future authorised use following your approval. It does not retrospectively establish that we had permission to copy the material before the agreement.

You will tell us if you know that any supplied material is subject to a restriction affecting its use.

If a third party makes a claim arising from material you supplied or expressly directed us to use in breach of this warranty, you will be responsible for reasonable direct losses and costs resulting from that breach, to the extent lawfully recoverable.

This responsibility does not apply to losses caused by our negligence, our unauthorised modification or use of the material, or our independent decision to include material you did not authorise.

The party receiving a claim must notify the other promptly, cooperate reasonably and take sensible steps to reduce avoidable losses.

Neither party may settle a claim on terms imposing an admission or material obligation on the other without that party's written agreement.

Nothing in this clause prevents either party from disputing an allegation or exercising its legal rights.

12. Finalisation and going live

A speculative preview is not automatically ready for publication as your official website.

After purchase, we will confirm the agreed scope and the information, assets, approvals and account access needed to complete the website.

Our target is to finish the agreed post-purchase work within seven working days of receiving everything reasonably needed.

For Fitted and Managed, we aim to make the website live within ten working days of receiving the necessary account access and approvals.

These timings depend on the agreed scope and actions outside our reasonable control, including customer approvals, registrar procedures and third-party service availability.

We will inform you if a relevant delay arises and agree a revised schedule where necessary.

Before publication, you will be given an opportunity to review the final version and identify material factual or functional errors.

We will not deliberately put the website live without the required content approval and payment.

For Freehold, delivery occurs when the agreed files and handover information are made available to you.

For Fitted and Managed, launch occurs when the agreed website has been deployed and is available through the approved domain or agreed production address.

13. Quality and defects

We will perform our services with reasonable care and skill and deliver the functionality expressly agreed in the accepted specification.

The website will be designed for current mainstream browsers and typical mobile and desktop screen sizes.

We do not promise compatibility with every device, browser extension, obsolete browser or future technical environment.

13.1 Included defect correction

We will correct reproducible defects caused by our failure to deliver the agreed website, without additional charge, where they are reported within:

A defect means a material failure of the agreed functionality or specification.

This does not include a new feature, a change of preference, new content, a third-party change outside our control or a problem introduced by unauthorised modification after handover.

We will not use the expiry of the 90-day correction period to remove any legal remedy that cannot properly be excluded.

For customers with ongoing services, our separate continuing hosting and management obligations still apply.

13.2 No results guarantee

We do not guarantee:

Any example of a possible commercial benefit is an illustration, not a binding performance guarantee unless expressly incorporated into a separately agreed specification.

14. Hosting, support and maintenance levels

Our normal support hours are Monday to Friday, 9am to 5pm UK time, excluding bank holidays.

Automated systems may operate outside those hours. This does not mean that human support is available around the clock.

14.1 Hosting

The £29 hosting service provides the agreed hosting arrangement, SSL management and reasonable correction of hosting faults attributable to our configuration.

It does not include proactive monitoring, content changes or priority support.

14.2 Managed Lite

Managed Lite includes automated website monitoring, agreed enquiry-form checks, SSL management, routine technical maintenance and priority support.

14.3 Managed

Managed includes the Managed Lite services and up to 90 minutes each month of website management or minor changes.

We may use the time proactively where useful and within the existing service scope.

Unused time expires at the end of the relevant monthly service period.

Additional chargeable work requires agreement before it begins.

14.4 Support targets

We aim to acknowledge:

These are first-response targets, not guaranteed repair or resolution times.

We will act with reasonable care and skill in investigating and addressing problems within our responsibility.

Where a problem depends on a third-party provider, we will take reasonable steps within the service purchased but cannot guarantee that provider's restoration time.

14.5 Leave, illness and interruptions

We may have reduced availability during annual leave, illness or other unavoidable absence.

Where practicable, we will give customers advance notice of planned periods affecting support.

We will not knowingly accept a service commitment that we cannot reasonably fulfil.

We will take reasonable measures to protect live customer sites and respond to material issues, having regard to the size and nature of our business.

This clause does not remove liability for failure to perform an agreed service with reasonable care and skill.

15. Requests for changes

We will confirm whether a requested change falls within the original specification, an included Managed allowance or separately chargeable work.

For chargeable time:

We will agree chargeable work before carrying it out.

We will not treat an ordinary correction of our own covered defect as a paid change.

An agreed variation may affect the project price and delivery timetable.

16. Cancellation and early termination

16.1 Freehold and Fitted

Before the contract is accepted, no purchase charge is payable.

After contract acceptance, the paid website deliverables and any required post-purchase work are governed by the accepted specification.

If you ask to cancel before delivery or installation, we will assess work already performed under the contract and any unavoidable committed costs.

Any amount retained must be justified by the work and contractual loss genuinely attributable to the cancellation, with any applicable legal rights preserved.

The speculative work we performed before you entered the contract is not automatically a separate debt owed by you.

After proper delivery of a conforming website, there is no automatic contractual refund for a change of mind.

This does not affect remedies for breach of contract, misrepresentation or other rights that cannot lawfully be excluded.

16.2 Managed Lite and Managed

Both plans have an initial twelve-month minimum term.

Ordinary cancellation takes effect after that initial term, on at least 30 days' written notice.

A request to leave during the initial term does not automatically cancel the remaining payment obligations.

If you request early termination, we will provide a written calculation reflecting the remaining contractual commitment and deducting costs we genuinely avoid because the service will no longer be provided.

We will not impose an additional arbitrary penalty or charge twice for the same period.

Any early-exit arrangement must be confirmed in writing.

You may exercise any legal right to terminate for our material breach. Where a valid termination arises from our breach, an ordinary early-exit charge does not apply.

Website rights already assigned to you remain yours.

16.3 Hosting-only and chat assistant

The £29 hosting-only service and the separately purchased chat assistant service continue month to month, with 30 days' written notice to cancel.

Any initial setup charge already earned for completed setup work is treated separately from monthly service fees.

16.4 Material breach

Either party may terminate the affected agreement where the other commits a material breach and fails to correct it within 14 days after receiving a written notice describing the breach and the remedy required.

Where a breach cannot reasonably be remedied, or the law permits immediate termination, the applicable legal rights remain available.

16.5 Insolvency and illegality

Either party may exercise any termination rights that lawfully arise from insolvency, inability to perform or illegality, subject to applicable statutory restrictions.

17. Non-payment and suspension

If a recurring payment fails, we will notify you and provide an opportunity to correct the payment problem.

We may send reminders and suspend non-essential change work while a relevant invoice remains overdue.

We will not ordinarily suspend hosting immediately following a single failed payment.

Where an undisputed amount remains unpaid for more than 30 calendar days, we may suspend the affected ongoing service after giving written notice and a reasonable opportunity to pay.

We will consider the likely effect of suspension and will not knowingly use suspension in a manner inconsistent with applicable law.

Suspension does not transfer ownership of your website back to us.

We will not withhold copies of website files already assigned to you solely to force payment of later monthly management fees.

We may continue to pursue legitimately outstanding payments.

We may end the affected service where the contract and applicable law permit termination following continued non-payment.

18. Leaving and website handover

When a hosting or management service ends, you retain the rights assigned to you in the website.

We will make available the agreed website files and relevant handover information, subject to any third-party licensing restrictions.

You are responsible for arranging replacement hosting if the website is moving away from us.

We will explain the reasonable technical requirements for that move.

Where you need us to perform additional migration work beyond the agreed standard handover, we will quote it separately at the applicable change rate before it begins.

We will not deliberately interfere with the website after the service ends.

Domain and email arrangements are separate and may have different renewal dates or provider procedures.

Any remaining personal data will be handled under the applicable data processing agreement and legal retention requirements.

19. Liability

Nothing in these terms excludes or limits liability for:

19.1 Ordinary contractual liability

Subject to the exclusions and qualifications in this section, our total aggregate liability for claims arising from the relevant website purchase and associated service agreement is limited to the greater of:

This cap applies only to the extent it is lawful and reasonable to do so.

19.2 Confidentiality, data protection and intellectual property

For claims arising from our breach of contractual confidentiality obligations, our data protection obligations or infringement of third-party intellectual-property rights caused by material we independently supplied without proper rights, the proposed contractual cap is £10,000 in aggregate, to the extent lawful and reasonable.

This does not limit rights held independently by regulators or third parties who are not bound by this contract.

19.3 Business losses

We do not accept responsibility merely because a website fails to generate an expected number of enquiries, sales, visitors or search rankings.

Neither party is liable for remote or unforeseeable losses to the extent such losses may lawfully be excluded.

This provision does not exclude losses that are directly caused by a breach and cannot reasonably or lawfully be excluded.

We will not rely on a broad label such as "loss of profit" to remove liability where doing so would be unlawful or unreasonable.

19.4 Third-party systems

We are not responsible for an independent third-party provider's acts or failures where those failures are outside our reasonable control and are not caused or aggravated by our own breach.

We remain responsible for exercising reasonable care and skill in selecting, configuring and operating third-party services within the services we have agreed to provide.

19.5 Mitigation

Each party must take reasonable steps to limit avoidable loss arising from a breach.

Nothing in this section excludes a remedy that the law does not permit us to exclude.

20. Data protection

Bricks and Pixels and the customer may each be independent controllers in relation to personal information processed for their own business purposes.

Where we process customer enquiry information or other personal data on the customer's behalf, the customer will ordinarily be the controller and we will act as processor for the agreed processing.

In that situation, the processing must be governed by an appropriate written data processing agreement satisfying Article 28 of the UK GDPR.

The data processing agreement is not optional where Article 28 applies.

The agreement must address, as applicable:

We will not begin processing personal data as a processor where the necessary contractual terms have not been established.

Customers remain responsible for appropriate privacy information and lawful arrangements covering enquiries collected through their own websites.

Our privacy notice for prospects is available at:

https://bricksandpixels.co.uk/privacy-prospects

20.1 AI chat assistant: data processing

Who is responsible for what. When we run an AI chat assistant on your website, the people who use it are your visitors and your customers. You are the controller of the personal data in those conversations. We process it on your behalf as your processor, and these terms are the contract between us that UK GDPR Article 28 requires.

What we process. What your visitors type into the assistant, its replies, the date and time, and any contact details a visitor chooses to give (such as their name, business name, email address and phone number), so that the conversation can be passed to you.

Why and for how long. Only to run the assistant for you: to answer your visitors, to pass conversations and contact details to you, to show you your conversations, and to check and improve the assistant's answers for you. Conversations are deleted automatically 90 days after they take place unless you tell us in writing to keep them for a different period.

Your instructions. We process this data only on your documented instructions, which are these terms and anything you tell us in writing later, unless the law requires otherwise; if it does, we tell you first unless the law forbids it. If we think an instruction breaks data protection law, we tell you.

Confidentiality and security. Everyone at Bricks and Pixels who can see the conversations is bound to keep them confidential. We keep them secure with measures appropriate to the risk, including encryption in transit, access limited to the people who need it, and automatic deletion.

Sub-processors. You authorise us to use these providers to run the assistant: Anthropic PBC (the AI model that writes the replies), Cloudflare, Inc. (hosting, the conversation log and a back-up AI model) and Resend, provided by Plus Five Five, Inc. (the email service that sends conversations and contact details to you). We bind each of them to data protection terms that give the same protection as these. We will tell you before we add or replace one, and you may object; if we cannot resolve the objection you may end the assistant subscription without an early-exit charge.

Transfers outside the UK. Some sub-processors may process data in the United States. We only allow this with a safeguard recognised under UK law. Anthropic's data processing terms use the European Commission's standard contractual clauses with the UK Addendum issued by the Information Commissioner. Cloudflare and Resend rely on the UK Extension to the EU-US Data Privacy Framework, and their data processing terms also include the standard contractual clauses with the UK Addendum.

Helping you. We help you, as far as we reasonably can, to answer requests from people exercising their data protection rights (for example to see or delete a conversation), and with security, breach notification and any data protection impact assessment that concerns the assistant.

Breaches. If we become aware of a personal data breach affecting your conversations, we tell you without undue delay, with what we know.

At the end. When the assistant subscription ends, we delete the conversations within 30 days unless you ask us in writing before then to return them to you, or the law requires us to keep them.

Audits. We give you the information you reasonably need to show that these obligations are met, and allow and contribute to reasonable audits, on reasonable notice and at your cost.

Your part. You are responsible for telling your visitors about the assistant in your own privacy notice. We supply wording for it when we build the assistant.

21. Confidentiality

Each party must use reasonable care to protect confidential information received from the other.

Confidential information may be used only for the agreed services or other purposes expressly authorised by the disclosing party.

This obligation does not apply to information that is lawfully public, independently developed without use of the other party's confidential information, or lawfully received without a confidentiality restriction.

Information may be disclosed where required by law.

We will take reasonable precautions with passwords, credentials and access information. Ordinary unencrypted email should not be used to transfer passwords.

22. Changes in circumstances

Neither party is responsible for a delay caused by an event genuinely outside its reasonable control, provided it takes reasonable steps to reduce the effect and informs the other party where practicable.

This may include widespread infrastructure failure, major network disruption or a lawful restriction preventing performance.

The clause does not excuse an ordinary failure to plan, an avoidable staffing problem or a payment obligation already due.

Where disruption continues and materially prevents the agreed service, the parties will discuss an appropriate remedy or termination.

Any non-excludable rights remain unaffected.

23. Notices and communications

Written notices under these terms may be sent by email to the agreed business contact address.

Notices to us should be sent to [email protected].

A notice is not treated as valid merely because an automated system attempted to send an email that did not reach its destination.

Each party should keep its contact details accurate.

An unsubscribe request from marketing is not the same as a contractual notice terminating an active paid service, although we will clarify ambiguous communications rather than ignore them.

24. General terms

These terms and the accepted order documents form the agreement for the purchased services.

If any provision is found invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

Neither party gives up a legal right merely by delaying its enforcement.

You may transfer your website files and the rights assigned or licensed to you in accordance with section 10.

Neither party may transfer material ongoing service obligations to another provider without appropriate notice and any consent legally or contractually required.

We may update these published terms for future purchases. Changes to an existing agreement require an applicable contractual right or agreement between the parties.

A person who is not a party to this agreement has no contractual right to enforce it under the Contracts (Rights of Third Parties) Act 1999, except where a right cannot lawfully be excluded.

These terms are governed by the law of England and Wales.

The courts of England and Wales have jurisdiction over disputes, subject to any mandatory rule that applies.

25. Contact and complaints

For questions about a website purchase, service, payment, cancellation or these terms, contact:

Bricks and Pixels Ltd

Registered office: 71-75 Shelton Street, London WC2H 9JQ

We will investigate complaints reasonably and explain our proposed resolution.

Privacy complaints are handled separately under our privacy notice and applicable data protection law.
